Terms of Service

​These Terms of Service ("Terms") govern your access to and use of the HayaCut software extension for Adobe Premiere Pro (the "Software"), the HayaCut website, and related services (together, the "Services"), operated by Manop Janjarasskul ("we", "us"). By purchasing, installing, or using the Software, you agree to these Terms and to the HayaCut End User License Agreement included with the Software.

1. License

The Software is licensed, not sold. Subject to a valid purchased license and your compliance with these Terms and the End User License Agreement, you are granted a limited, non-exclusive, non-transferable license to install and use the Software on the number of machines permitted by your plan. All rights not expressly granted are reserved.

2. License Keys and Activation

Use of the Software requires a valid license key, which is bound to your machine on activation. You are responsible for keeping your license key confidential. Sharing, reselling, or circumventing license keys or the activation mechanism is prohibited, and we may revoke licenses used in violation of these Terms.

3. Purchases, Billing, and Renewals

Paid plans are sold through third-party merchants of record, who process payment, handle applicable taxes, and act as the seller for your transaction. Subscription plans renew automatically for the same period unless cancelled before the renewal date. Prices are shown at the point of purchase and may change for future terms.

4. Refunds

Refunds are handled by the merchant of record through which you purchased, in accordance with their refund policy and any non-waivable rights granted to you under the consumer-protection laws of your country of residence. 5. Acceptable Use

You agree not to copy, distribute, sell, sublicense, rent, modify, translate, reverse engineer, decompile, or disassemble the Software except to the limited extent permitted by applicable law, and not to remove or alter any proprietary notices. You are responsible for your own media, projects, and data used with the Software.

6. Intellectual Property

The Software and all intellectual property rights in it are and remain our property or that of our licensors. These Terms do not grant you any rights to our trademarks, logos, or service marks.

7. Third-Party Software and Platforms

The Software runs inside Adobe Premiere Pro and may interact with Adobe Media Encoder and other Adobe products, which are governed by Adobe's own terms. We are not affiliated with or endorsed by Adobe. Your use of Adobe products is subject to your agreements with Adobe.

8. Disclaimer of Warranty

The Software and Services are provided "as is" and "as available", without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or relating to your use of or inability to use the Software or Services. Our total liability shall not exceed the amount you paid for the license. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

10. Termination

These Terms remain in effect until terminated. They terminate automatically if you breach any term. On termination, you must cease all use of the Software and destroy all copies in your possession or control. Sections that by their nature should survive termination will survive.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above and, where appropriate, communicated to you. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Kingdom of Thailand, without regard to its conflict-of-law provisions, except where the mandatory consumer-protection laws of your country of residence provide you with rights that cannot be waived. Any dispute not subject to such mandatory local law shall be subject to the jurisdiction of the courts of Thailand.
